1. Acceptance of Terms

By accessing or using NaxFlow ("Service"), operated by AI VOBIS ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

NaxFlow is a data flow management platform that provides workflow automation, data integration, monitoring, and analytics services. The Service is designed to help organizations streamline data movement and processing across complex systems.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your password meets our security requirements

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations

• Resell, lease, or provide the Service to third parties without authorization

5. Data and Privacy

5.1 Data Ownership

You retain all rights to your data. We claim no ownership rights over the data you submit to the Service ("Customer Data").

5.2 Data Processing

By using the Service, you grant us permission to process Customer Data as necessary to provide the Service and as described in our Privacy Policy.

5.3 Data Security

We implement industry-standard security measures to protect your data, including:

• Encryption in transit (TLS 1.2+) and at rest (AES-256)
• Regular security audits and penetration testing
• Access controls and authentication mechanisms
• SOC 2 Type II compliance
• HIPAA compliance measures (when applicable)

5.4 Data Retention

We retain Customer Data for the duration of your subscription and for a reasonable period thereafter as required for backup, compliance, or legal purposes. You may request deletion of your data at any time.

6. Intellectual Property Rights

6.1 Our Rights

The Service, including all content, features, and functionality, is owned by AI VOBIS and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide license to use and incorporate such feedback without compensation.

7. Service Level and Availability

7.1 Uptime Commitment

We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance. Specific SLA terms are outlined in your subscription agreement.

7.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice when necessary for security or system integrity.

8. Payment and Subscription

8.1 Fees

Access to certain features requires payment of fees. All fees are non-refundable except as required by law or as expressly stated in your subscription agreement.

8.2 Billing

You agree to pay all fees according to the payment terms in effect at the time. Failure to pay may result in suspension or termination of your account.

8.3 Price Changes

We may change our fees with 30 days' advance notice. Continued use of the Service after the price change constitutes acceptance of the new fees.

9. Warranties and Disclaimers

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AI VOBIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI VOBIS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Customer Data

12. Compliance and Regulatory Requirements

12.1 HIPAA Compliance

If you process protected health information (PHI) through the Service, you must execute a Business Associate Agreement (BAA) with us. Contact us to arrange a BAA before processing PHI.

12.2 GDPR Compliance

For customers processing personal data of EU data subjects, we serve as a data processor. Our data processing addendum (DPA) is available upon request.

12.3 Export Controls

You agree to comply with all applicable export and import control laws and regulations.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us. Termination will be effective at the end of your current billing period.

13.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms.

13.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We will provide you with a reasonable opportunity to export your Customer Data.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where AI VOBIS is incorporated, without regard to conflict of law principles.

14.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with commercial arbitration rules, except for disputes related to intellectual property rights or injunctive relief.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and AI VOBIS regarding the Service.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
